Fox Completes $22 Billion Acquisition of Roku, Creating a New Titan in U.S. Television and Streaming

There is a new sheriff in Roku City. Fox Corporation has officially finalized its massive $22 billion purchase of the streaming pioneer and technology company, reshaping the modern media and television landscape. The blockbuster deal, which closed today, brings together Fox Corp.’s robust portfolio of broadcast television, national news, live sports, existing streaming assets, and local news networks with Roku’s industry-leading open connected TV platform. Through this acquisition, Fox also gains access to valuable first-party data drawn from more than 100 million global streaming households, giving the combined enterprise an unprecedented footprint in contemporary viewing habits.

The newly merged company immediately leaps to become the third-largest entity in the entire United States television market when measured by share of viewing. According to leadership at Fox, the integration of Roku’s hardware and software ecosystem will unlock innovative new opportunities to better serve viewers, major advertisers, and vital industry partners. In an era where traditional television consumption patterns are undergoing a profound, permanent shift toward digital environments, this union positions both brands at the forefront of the evolving media economy.

Lachlan Murdoch, the executive chair and chief executive officer of Fox Corp., addressed the closing of the transaction by emphasizing that acquiring Roku represents a major advancement of the media company’s long-term strategic vision. Murdoch noted that the combined organization will continue to relentlessly serve its audiences and partners while actively reinforcing the openness and consumer choice that has always defined the fundamental essence of the Roku platform. By preserving the open nature of the technology while injecting Fox’s vast content production engine, the company aims to offer a compelling value proposition to consumers navigating an increasingly crowded digital landscape.

Under the terms of the corporate reorganization, Roku will be folded directly into Fox Digital Platforms. This specialized unit already houses several notable digital properties, including the popular free ad-supported streaming television (FAST) service Tubi, Fox One, and Red Seat Ventures. Anthony Wood, the visionary founder of Roku, will transition into a new leadership role by joining Fox’s board of directors. Furthermore, Wood will serve as co-chair of Fox Digital Platforms, working alongside Paul Cheesbrough, who serves as the chief executive officer of the unit. This leadership structure is designed to blend Roku’s pioneering technological expertise with Fox’s deep operational experience in content creation and monetization.

The formal completion of the transaction follows months of anticipation and regulatory review. When the merger was first announced back in June, executives from both companies publicly outlined their shared ambition to construct a scaled, next-generation media and technology enterprise capable of thriving in a modern economic climate defined by surging consumer demand for live sports, breaking news, and on-demand streaming. As traditional cable bundles continue to erode and audiences migrate toward connected television environments, the alliance of a major content producer with a dominant distribution platform addresses the shifting priorities of the modern media consumer.

Financial details of the transaction confirm the specific mechanics of the exchange for shareholders. Under the finalized merger agreement, Roku stockholders are entitled to receive $95.30 in cash alongside 0.9799 shares of Fox Class A common stock for every individual share of Roku Class A and Roku Class B common stock they owned prior to the deal’s closure. Following the distribution of these shares and the completion of all equity adjustments, existing Fox shareholders will retain ownership of approximately 74 percent of the outstanding shares of Fox common stock. Meanwhile, the remaining approximately 26 percent of the common stock will be distributed to former Roku shareholders, aligning the long-term financial interests of both investor bases.

Reflecting on the monumental milestone of Roku’s acquisition, Anthony Wood shared his perspective in a statement released to the public. Wood expressed immense pride in the achievements his team built over the years, transforming a hardware and software startup into a household name and a central hub for modern television viewing. He stated that combining forces with Fox provides an extraordinary opportunity to accelerate Roku’s founding vision, scale its operational infrastructure much faster, and operate with greater aggressiveness when it comes to technological and product innovation for their respective audiences. Wood concluded by sharing his profound enthusiasm for the road ahead, noting that he could not be more excited about what the two teams will accomplish together in this next chapter.
